Registered agent

A registered agent in your state.

Every LLC must appoint a registered agent with a physical address in its state of formation. The agent receives official state mail and service of process on behalf of your company.

  • Physical address in the state of formation
  • Receipt of service of process
  • Receipt of official state mail
  • Digital delivery of the documents received

A legal requirement

Without a valid registered agent, an LLC can lose its good standing with the state.

Nothing slips through

Official documents are received during business hours and forwarded to you.

Your home address stays private

The agent's address appears in public records instead of yours.

What a registered agent does

The registered agent is your company's official point of contact with the state. Its address appears on your Articles of Organization and in public records.

It must be reachable during business hours, so that service of process and state notices (annual report, reminders) reach the company.

FAQ: Registered agent

Can I be my own registered agent?

Only if you have a physical address in the state of formation and are available during business hours. That is rarely possible for a non-resident.

Can I use the agent's address as my business address?

No. The agent's address is for receiving legal documents. For business mail, use a dedicated business address.

What happens if I change agents?

A change of agent form is filed with the state. State fees may apply.
