How formation works
Choosing the state
Non-residents often pick Wyoming, Delaware or New Mexico, but the state where you actually do business may require a local registration. We help you compare.
Name and details
We check name availability with the state and collect information about the members and the manager.
Articles of Organization
The founding document is filed with the Secretary of State. It states the LLC's name and its registered agent, among other things.
Operating Agreement
This internal contract sets out ownership, powers and operating rules. It is usually not filed, but banks almost always ask for it.
After formation
EIN application, banking preparation and setting up your compliance calendar.
Compare the main states

|---|---|---|---|
| Wyoming | $100 | Annual report from $60 | Low annual fees, no state income tax |
| Delaware | $110 | $300 annual tax (June 1) | Popular with investors |
| New Mexico | $50 | No annual report for LLCs | Among the lowest recurring costs |
| Florida | $125 | $138.75 annual report (May 1) | Relevant if you operate in Florida |
Formation timelines
Timelines depend on the state, the filing method and the time of year.
| Step | Usual timeline |
|---|---|
| Preparing your file | As soon as we have all your information |
| State processing (online filing) | From a few business days to a few weeks |
| Expedited processing option | Offered by some states, for an additional state fee |
Your obligations after formation
- State annual report and/or annual tax (depending on the state)
- Annual registered agent renewal
- Federal filings with the IRS (for example Form 5472 for a non-resident-owned LLC)
- Bookkeeping kept separate from your personal finances
- Updating the state when something changes (address, manager, agent)

FAQ: LLC formation
Which state should I choose for my LLC?
There is no single best state. Wyoming and New Mexico have low annual fees, and Delaware is popular with investors. If you have a physical presence or employees in another state, that state may require registration. We explain the differences; for personal advice, consult a professional.
Do I need to travel to the United States?
No. Forming an LLC is done entirely remotely. Some banks may ask for an interview or a branch visit; that depends on the bank.
Is the Operating Agreement mandatory?
A few states require it, most do not. It is still strongly recommended: it shows who owns the company and is usually required to open a bank account.
