Delaware vs Wyoming LLC: which one should you choose?

Formation fees, annual costs, investors, privacy: comparing the two most requested states.

Updated November 4, 2026

Fees

Wyoming: $100 formation fee and an annual report from $60. Delaware: $110 formation fee and a $300 annual tax for LLCs, due June 1. Over several years, the gap grows in Wyoming's favor.

Investors

Delaware is the venture capital standard, especially for C-Corps. For an LLC with no fundraise planned, that advantage matters much less.

Simplicity and privacy

Both states allow quick online filing and do not publish a detailed list of an LLC's members. Wyoming is often valued for its simple procedures and lower costs.

Our take

Online business, remote services, e-commerce: Wyoming is often the most economical choice. Planning to raise funds: Delaware, usually as a C-Corp. If you physically operate in another state, that state may require registration.
